1. Acceptance of Terms

By accessing or using Sidekick ("the Service"), operated by Sidekick AI Ltd ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all users, including business owners, employees, and any person accessing the Service on behalf of a business.

2. Description of Service

Sidekick is an AI-powered office management platform designed for plumbers and tradespeople. The Service includes but is not limited to:

• AI-powered call answering and message handling
• Automated scheduling and diary management
• Quote generation and sending
• Invoice creation and payment chasing
• Customer relationship management
• Review collection and management
• Business reporting and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access.

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or your business.

4. Payments and Billing

Subscription fees are billed monthly or annually in advance. All prices are in GBP and exclusive of VAT unless stated otherwise. Payment is processed via Stripe.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial periods, except where required by law.

We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing period.

5. Your Data and Content

You retain ownership of all data and content you provide to the Service ("Your Content"). By using the Service, you grant us a limited licence to process, store, and transmit Your Content solely to provide the Service.

You are responsible for ensuring you have the right to share any personal data of your customers with us. You should inform your customers that you use AI-powered tools to manage communications and scheduling.

6. Intellectual Property

The Service, including its design, code, branding, AI models, and documentation, is owned by Sidekick AI Ltd and protected by intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works from the Service.

Free tools provided on our website (calculators, generators) produce output that you may use freely for your business purposes.

7. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Transmit harmful, abusive, or fraudulent content
• Attempt to gain unauthorised access to the Service or its systems
• Interfere with or disrupt the Service's infrastructure
• Use the Service to send spam or unsolicited communications
• Resell or redistribute the Service without written permission

8. AI-Generated Content

The Service uses artificial intelligence to generate responses, quotes, messages, and other content. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and approving all communications sent on your behalf. We do not guarantee the accuracy or completeness of AI-generated content.

9. Limitation of Liability

To the maximum extent permitted by law, Sidekick AI Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from your use of the Service.

Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

We may suspend or terminate your access to the Service if you breach these terms, fail to pay fees when due, or engage in conduct that we reasonably believe is harmful to the Service or other users.

Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days to allow for reactivation or data export, after which it will be permanently deleted.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
